Brand License

Draft for attorney review.This is the agreement that governs a brand’s (“licensee’s”) use of a licensed asset. It is not legal advice and must be finalized by counsel before launch. It works with the Terms of Service, Acceptable Use Policy, and the per-deal license certificate. For talent likenesses, see also the Talent License.

1. Parties

This agreement is between the licensing business (“brand” or “you”) and, for talent likenesses, the talent as licensor, with Amaze LLC(“Amaze”) facilitating. For Amaze house models, Amaze is the licensor.

2. What you receive & the scope

On payment, you receive the high-resolution AI asset(s) and a license certificate granting a specific, limited right defined by the certificate: the channels, territory, duration, and tier (e.g. Limited, Commercial, Extended). You may use the asset only within that stated scope.

3. Restrictions

  • No use beyond the licensed channels, territory, duration, or tier.
  • No sublicensing, reselling, redistributing, or transferring the asset or license.
  • No use that violates the Acceptable Use Policy — including defamatory, deceptive, adult, minor-depicting, hateful, or unlawful use.
  • No implying a real person endorses a product, view, or candidate without that person’s explicit, documented consent; no political/election, or other sensitive-category use, without the required consent and rights.
  • No use in any restricted category (adult, tobacco/vaping/cannabis/alcohol, firearms, gambling, political/election, pharma/health claims, financial/crypto/MLM, hateful/defamatory) without the depicted person’s documented consent — see the Acceptable Use Policy.
  • No removing, altering, or hiding C2PA content credentials, provenance, or watermarks.
  • No using the asset to train AI models, or to create NFTs, patents, or trademarks.

4. AI disclosure & endorsements

The asset is AI-generated synthetic media. You must comply with the FTC Endorsement Guides(which apply to AI personas the same as human endorsers) and all applicable advertising and synthetic-media laws — including disclosing AI generation and that any endorsement is simulated where omitting it would mislead a reasonable consumer. Deceptive election/political deepfakes are prohibited, and any permitted political use must carry all legally required disclaimers.

5. Term, renewal & expiry

The license lasts for the duration on the certificate. When it expires you must stop using the asset and remove it from active channels, unless you renew or obtain a new license. Perpetual tiers, where offered, are stated on the certificate.

6. Fees & payment

Fees are paid through Amaze (via Stripe). For talent licenses, funds are held until the talent accepts and you release, at which point the talent is paid their share and Amaze retains its platform fee; if the talent declines, you are refunded. You are responsible for applicable taxes.

7. Ownership

The talent retains ownership of their likeness; Amaze retains ownership of its house models and the platform. You receive only the scoped license stated on the certificate — not ownership of the person’s identity or of the underlying model.

8. Your warranties & indemnity

You represent that you will use the asset only within scope and in compliance with law and these terms. You indemnify and hold harmless the talent and Amaze from any claims, damages, or costs arising from your use of the asset, your breach of this agreement, or your violation of any third-party right.

9. Disclaimers & liability

Assets are provided “as is.” AI output can be imperfect; you are responsible for reviewing it before use. Disclaimers and the limitation of liability in the Terms of Service apply to this agreement.

10. Termination

Amaze or the talent may terminate a license for breach (including out-of-scope or prohibited use), and Amaze may remove an asset in response to a valid report or legal requirement. On termination for breach you must immediately stop using the asset.

11. General

Dispute resolution (binding individual arbitration and class-action waiver), governing law (Louisiana), changes, and other general terms are as stated in the Terms of Service, which are incorporated here. Questions: support@amazeaimodel.com.
